Annual Compliance Checklist for Private Limited Companies
Incorporating a company is the start, not the end. A private limited company has recurring obligations every year, and missing them leads to penalties and, in serious cases, disqualification of directors.
Core annual tasks
- Board meetings held at the required frequency, with minutes recorded
- Statutory audit of the annual financial statements by the appointed auditor
- Annual general meeting held within the prescribed time
- Financial statements filed with the Registrar of Companies
- Annual return filed with the Registrar of Companies
- Director KYC completed by each director as required
- Income tax return of the company filed by the due date
Ongoing obligations
- GST returns if registered
- TDS deductions and returns where applicable
- Maintaining statutory registers and records
- Reporting changes such as new directors, share transfers or a change of address
Build a compliance calendar
List every obligation with its due date and owner at the start of the financial year. A shared calendar with reminders is the simplest way to avoid late fees.
Keep documents organised
Board minutes, resolutions, registers, financial statements and filing acknowledgements should be stored in one secure place.
A note on accuracy
Forms, due dates and penalties are revised from time to time and some depend on the size of the company. Confirm your exact obligations with a company secretary or chartered accountant.
