Private Limited Company Registration in India: A Step-by-Step Overview
A private limited company is the most common structure for growing businesses and startups in India. It offers limited liability, a separate legal identity and an easier path to raising investment. Here is an overview of how registration works.
Basic requirements
- At least two directors, one of whom is resident in India
- At least two shareholders (directors can also be shareholders)
- A registered office address in India
Documents usually needed
- Identity and address proof of directors and shareholders (PAN, Aadhaar or passport)
- Recent photographs
- Proof of the registered office (utility bill and owner's permission or rent agreement)
The main steps
1. Digital signatures. Directors obtain digital signature certificates to sign the online forms.
2. Name approval. A unique name is proposed and checked against existing companies and trademarks.
3. Incorporation filing. The incorporation form, memorandum and articles of association are filed online with the Ministry of Corporate Affairs. Director identification numbers, PAN and TAN are typically applied for as part of the same process.
4. Certificate of incorporation. Once approved, the company is legally formed.
After incorporation
- Open a company bank account
- Deposit the share capital
- Register for GST if required
- Appoint an auditor within the required time
- Keep up with annual filings
Common delays
Most delays come from name rejections, mismatched document details and unclear address proof. Checking documents carefully before filing saves weeks.
